The Supervisory Board of the CE Oltenia could decide at the meeting at the end of March to suspend the functioning of the management board, a measure that will be approved in the general meeting of shareholders, later to enter into force, told energynomics.ro the president of the Supervisory Board (SB) of CE Oltenia, Dumitru Mărculescu. Sorin Boza could not be contacted.
“There is a material of the control body of the Ministry of Energy … which has some opposable measures for CE Oltenia, as established by the court in terms of its opposability, and which also provides measures to recover any damages caused to CE Oltenia, regarding some contracts carried out during the period 2017-2019. We were given this document from December 24, and we gave the legal office and the directorate the measure that these actions of patrimonial responsibility should be drafted, in order to promote legal actions regarding the recovery of these potential damages,” said Dumitru Marculescu.
“At the next SB (meeting of the members of the Supervisory Board) we will be able to see what are the actions, who are the people who could be responsible for the damages, and, depending on their quality, we will have to decide on attracting the patrimonial responsibility insofar as we talk about current members of the board of directors, or former members of the board of directors, or former members of the SB – we are talking about an approval of the shareholders’ meeting regarding the start of these patrimonial actions … We have no knowledge about another control body, we have a report of the Court of Accounts that was brought to our attention within the SB … The next SB (meeting) will take place towards the end of March,” he said.
Sorin Boza, demoted from the position of general manager (president of the directorate) at the beginning of the year, argues that this was done through political pressure, being an unjustified measure.
Boza has previously stated to energynomics.ro that he will not challenge the decision of the Supervisory Board and that he will remain in the simple composition of the Company’s Executive Board until the end of the term, in October.
The Supervisory Board (CB) of the Oltenia Energy Complex decided on Monday, January 27, to replace the chairman of the board of directors “due to the damage to the company and the fact that it was not legally selected”, according to the statements of the Minister of Economy and Energy (MEEMA), Virgil Popescu.
