Electrica shareholders will elect a new Board of Directors in the General Assembly, on the short list of candidates being Arielle Malard de Rothschild, Vice President for Central and Eastern Europe of a Rothschild company, according to a document posted on the website of distribution and supply company.
Quest Advisors and Transearch submited to Electrica’s leadership four proposals from which shareholders will select, on 22 September, an independent member of the company’s Board. Along with Arielle Malard de Rothschild, the list also includes Jorg Fabri – managing partner at Allocate, George Bogdan Iliescu – general manager of BRD Corporate Finance and Victor Cionga – managing partner at AZ Capital Advisors. On the reserve list are Bryan Jardine – partner at Wolf Theiss and Ovidiu Chiorean – partner at Crosspoint.
Company sources explained that the state, which is the largest minority shareholder of Electrica, will propose two members in the Board, and the remaining shareholders – another two. The independent administrator will be selected from the short list by a majority of shareholders, according to Bursa daily. The current Board is composed of Ioan Roșca, Marius Untescu, Niculae Pleşa, Constantin Dinescu and Ion Popescu.
