The Competition Council authorized the transaction through which BAXI S.p.A., RCapital S.R.L. and Kynvest S.R.L. take over the G.I. Industrial Holding S.P.A. and its subsidiaries: G.I. Middle East FZE -DMCC, G.I. Industrial Asia Holding SDN, BHD and GIMEX Zrt.

Baxi S.p.A., Italy, part of the BDR Thermea Group, specializes in the production and marketing of heating and cooling systems intended mainly for residential and commercial use. In Romania, BDR Thermea Group products are distributed through the national distributor BDR Thermea Romania. G.I. Industrial Holding S.p.A., from Italy, manufactures ventilation and refrigeration equipment.

RCapital and Kynvest, from Italy, get involved in the administrative activities of the G.I. group. Industrial Holding S.P.A., of which I belong.

Following the analysis, the Competition Council found that this operation does not raise significant obstacles to effective competition on the Romanian market or on a substantial part of it and that there are no serious doubts regarding its compatibility with a normal competitive environment.
