The Ordinary General Meeting of Shareholders (AGOA) of Electrica SA, that took place on April 25, 2019, approved, with the majority of the votes, the proposal of the Board of Directors regarding the distribution of the net profit of the financial year 2018, in the amount of RON 247,506,015, the gross dividend per share amounting to RON 0.73 and the dividend payment date being June 24, 2019.

Also, shareholders have approved the income and expenditure budget for the financial year 2019 and the annual financial statements for the year 2018, both at consolidated level and at individual level. The discharge of the members of the Board of Directors of Electrica for the financial year 2018 was approved.

At the same time, the shareholders of Electrica rejected the proposal to amend the remuneration policy of the members of Electrica’s Board of Directors and the proposed form of the mandate contract for the members of the Board of Directors. At the same time, the proposal to amend the remuneration limits for the company’s executive directors was rejected.
