The General Council of Bucharest (CGMB) could approve the division of the Municipal Company Energetica Bucureşti SA, by transferring its patrimony to the municipal companies Termoenergetica Bucureşti SA and Energetica Servicii Bucureşti SA, on the additional agenda of Thursday’s CGMB meeting being a project on this topic, according to Agerpres.
“The division project of Compania Municipale Energetica Bucureşti SA is approved by transferring its entire patrimony to Compania Municipala Termoenergetica Bucureşti SA and to Compania Municipală Energetica Servicii Bucureşti SA,” the draft decision stipulates.
The directors of the companies Compania Municipală Energetica Bucureşti SA, Compania Municipală Termoenergetica Bucureşti SA and Compania Municipală Energetica Servicii Bucureşti SA carried out the division project in accordance with the decisions of the Extraordinary General Meetings of the three companies. Through these meetings, the division operation was approved in principle according to some provisions of the CGMB decision no. 145 of March 11, 2019, respecting the incidental legal provisions regarding the division, but also any other legal provisions applicable in this procedure, stipulates the division project.
By decision no. 145 of March 11, 2019 CGMB approved the reorganization of Compania Municipală Energetica Bucureşti SA by division, completed by dissolution.
The amount of 2.5 million lei from the share capital of Compania Municipale Energetica Bucureşti SA will be transferred to Compania Municipală Termoenergetica Bucureşti SA, being necessary for the investment in equipment and installations related to the Metrological Verification Laboratory and repair shop of thermal energy meters, according to e-nergia.ro.
The rest of the share capital of Compania Municipale Energetica Bucureşti SA, in the amount of about 79 million lei, will be transferred to Compania Municipală Energetica Servicii Bucureşti SA for carrying out activities that are not exclusive to the service of production, distribution, transport and supply of thermal agent.
