Competition Council says is analyzing the transaction by which Mazarine Energy Romania SRL, a Carlyle subsidiary, takes over some assets of OMV Petrom SA, according to a press release received by energynomics.ro.
The transaction provides for the takeover by Mazarine Energy Romania SRL of all rights and obligations under agreements of 19 oil concession owned by OMV Petrom SA, together with its property, rights in rem and employees involved in the exploitation of oil fields, the statement by Competition Council states.
Mazarine Energy Romania SRL is a subsidiary of Mazarine Energy BV, a company controlled by funds managed by affiliates L.P Carlyle Group, a global alternative asset manager.
In Romania, Carlyle Group controls about 36 companies active in various sectors.
Under the provisions of the Competition Law (no. 21/1996), the proposed transaction is a merger that exceeds the thresholds provided for by law, subject to review by the Competition Council.
The competition authority also announced that it would assess the merger in order to determine the compatibility with a normal competitive environment and will issue a decision within the deadlines prescribed by law.
