The Energy Ministry wants to change the board of directors of Electrica SA six months after its appointment

Six months after the appointment of the current non-executive management of the company, the Energy Ministry requests that the General Assembly on April 27 to appoint the board of directors of Electrica SA, by the cumulative vote, for a four-year term. The current Board was appointed for a four-year term on October 26, 2017.

The Board of Directors of Electrica SA, appointed in October 2017, consists of:

  • Arielle Malard De Rothschild
  • Cristian Bușu (president)
  • Doina Elena Dascălu
  • Gicu Iorga
  • Pedro Mielgo Alvarez
  • Willem Jan Antoon Henri Schoeber
  • Bogdan George Iliescu

Electrica’s management completed the agenda for the General Meeting of Shareholders on April 27, 2018 at the request of the Energy Ministry, a minority shareholder with a 48.78% stake in the company. The remaining 51.22% are controlled by other shareholders, including EBRD (6.92%), Dedeman (5.76%), Bank of New York Mellon (3.67%), other legal persons (30, 37%) and individual persons (4.47%).

In an intervention for the Bursa daily, Alexandru Botez, one of the minority shareholders who contested the elections in last October, accusing the violation of the procedures, criticized the Energy ministry’s decision and announced he considers to run again for a seat in the board.
